Covington Advises Merrill Lynch in Third Wave Acquisition

NEW YORK, NY, June 11, 2008 — Hologic, Inc. has announced that it has signed a definitive agreement to acquire Third Wave Technologies, Inc. for approximately $580 million. Covington & Burling LLP advised Merrill Lynch, financial advisor to Third Wave, in the transaction.

Third Wave develops and markets molecular diagnostic reagents for a wide variety of DNA and RNA analysis applications based on its proprietary Invader® chemistry. Hologic is a leading developer, manufacturer and supplier of premium diagnostics, medical imaging systems and surgical products dedicated to serving the healthcare needs of women. Merrill Lynch is one of the world’s leading wealth management, capital markets and advisory companies, with offices in 38 countries and territories and total client assets of approximately $1.7 trillion.

The Covington corporate team was led by partner Jack Bodner and associate Russell Valdez. Both are resident in the firm’s New York office.
