Covington Advises Perella Weinberg on NYSE Euronext/Deutsche Börse AG Merger

NEW YORK, February 15, 2011 — Covington & Burling LLP represented Perella Weinberg Partners, as financial advisor to NYSE Euronext, in its merger with Deutsche Börse AG announced today, forming the premier global exchange group.

Under the terms of the agreement, NYSE shareholders will own 40 percent of the newly merged company, and Deutsche Börse shareholders will own 60 percent. One Deutsche Börse share will be exchanged for one share of the new company's stock, while each share of NYSE Euronext will be swapped for 0.47 share of the new company stock.

NYSE Euronext is a global operator of financial markets and stock exchange in the U.S. and Europe. Deutsche Börse AG is the operator of Germany’s main stock exchange.

Perella Weinberg Partners is a client-focused financial services firm that provides corporate advisory and asset management services to clients around the world. The New York-based Covington corporate team was led by partner J. D. Weinberg and Richard Kruger, an associate at the firm.
