Leading California Technology M&A Lawyer Joins Covington

February 11, 2019

SAN FRANCISCODenny Kwon has joined Covington as a partner in its Corporate Practice in San Francisco.

Mr. Kwon represents numerous public and private companies, private equity firms, and investment banks in a wide range of M&A transactions. His transactional experience includes the acquisition and sale of domestic and foreign public companies, private companies, divisions, and other assets for cash, stock, and other consideration, structured as mergers, stock sales, asset sales, mergers of equals, leveraged buy-outs, going-private transactions, tender offers, unsolicited offers, and proxy contests.

Mr. Kwon has also counseled clients in connection with other strategic transactions, such as spinoffs, joint ventures, and minority investments. In connection with these transactions, he counsels clients on fiduciary duties, M&A terms and conditions, federal securities law compliance, disclosure obligations, and stock exchange requirements.

In addition to his U.S.-based practice, Mr. Kwon has worked on numerous cross-border M&A transactions, including those involving companies in East Asia, India, Southeast Asia, Israel, Europe, and Canada.

"M&A has increasingly become the avenue of choice for public technology companies to reach the growth targets imposed upon them by the public markets, and as a result, we have been focused on adding a senior-level buy-side M&A partner with significant experience and relationships in the technology and life sciences industries," said Tom DeFilipps, the West Coast chair of Covington's Corporate Practice. "Denny will greatly enhance our Northern California corporate offering and our ability to further develop M&A and broader corporate relationships with West Coast-based technology and life sciences clients.”

"Covington's strong team of corporate lawyers, reputation for excellence, and collegial atmosphere, as well as the firm's focus on expanding its Northern California presence, are what attracted me to the firm." said Mr. Kwon. "I look forward to working with my colleagues to help drive the buy-side M&A practice with both technology and life sciences companies."

Mr. Kwon received his J.D. from New York University School of Law and an undergraduate degree from Dartmouth College.
