Samantha Choe advises public and private companies, independent boards, and senior executives on sensitive SEC and FINRA investigations and enforcement actions. Ms. Choe also has experience representing clients in all phases of litigation in both state and federal courts.

As a former staff attorney at the U.S. Securities and Exchange Commission, Enforcement Division in San Francisco, Ms. Choe has investigated and litigated potential violations of federal securities laws in a variety of cases, including breach of fiduciary duty by investment advisers, offering fraud, insider trading, and financial fraud. As a member of the Asset Management Unit of the Enforcement Division, Ms. Choe led investigations of large private equity advisers.

  • Represent a leading biopharmaceutical company in multijurisdictional FCPA investigation by DOJ/SEC.
  • Represent a technology company in various criminal and civil regulatory investigations by SEC, DOJ, FTC, state AGs, and other regulators.
  • Conducting independent investigation into faculty and staff sexual misconduct at private school.
  • Represent individual in SEC investigation involving cryptocurrency.
  • Represent former CFO of private equity and consumer debt investment firm in SEC litigation.
  • Represented a global company in an antitrust investigation by the DOJ that resulted in no further action.
  • Conducted an internal investigation of a technology company’s workplace environment.
  • Represented former Chief Investment Officer of Fixed Income at Charles Schwab Investment Management in SEC v. Daifotis, No. C 11-00137 WHA (N.D. Cal.).
  • Represented a large public company in SEC inquiry acting on a whistleblower tip resulting in no further action.

Pro Bono

  • Represent plaintiffs in Amadei, et al., v. Duke et al., (EDNY 17-cv-05967) challenging the Customs and Border Patrol’s warrantless search of passengers.
  • Represent pro bono client in actual innocence petition.
  • Represented pro bono client in a misdemeanor criminal trial in Marin County Superior Court, securing not guilty verdicts on all counts.
  • Argued in the Ninth Circuit Court of Appeals on behalf of amicus curiae Law Center to Prevent Gun Violence in defense of California’s concealed carry laws.
