Priscilla Fasoro represents clients on a wide variety of complex commercial transactions, specializing in those involving technology and data. In particular, her practice focuses on negotiating outsourcing and other technology-driven agreements, including services agreements for both service providers and customers. Ms. Fasoro represents clients in a wide array of industries, including technology services, public utility, automobile, consumer goods, airline, hospitality, banking, private equity, and fashion.
In addition to her technology practice, Ms. Fasoro has significant experience representing U.S. and international clients in a broad range of general corporate and strategic matters.
Outsourcing
- Advised WeWork on the negotiation of a comprehensive global third party logistics outsourcing agreement with a global leader in logistics. The $315 million agreement will provide WeWork with freight management, warehousing, customs brokerage, and software services.
- Represented National Grid in an innovative outsourcing transaction valued at approximately $250 million, which requires two vendors to work together and utilize agile software development in order to integrate and upgrade National Grid’s various systems, across regions over a five-year period.
- Represented a leading technology services provider in the negotiation of a $124M IT Outsourcing contract renewal with a multinational conglomerate.
Technology and IP Transactions
- Represented American Airlines in connection with its sponsorship of the Jonas Brothers' 2019 "Happiness Begins" tour.
- Advised the Alliance for Lifetime Income in its agreements to become the sole sponsor of the Rolling Stones' No Filter US Tour 2019 and No Filter US and Canada Tour 2020.
- Advises numerous clients in stand-alone intellectual property and technology agreements, including license agreements, collaboration and development agreements, services agreements, and agreements for marketing and exploiting technology-based products and services.
Other Matters
- Advised a technical textiles company and its wholly owned subsidiary in their acquisition of all of the issued and outstanding stock of a competing textiles manufacturer.
- Advised an airline on its establishment of a 50/50 equity joint-venture with a private company to perform engine parts trading and related services to operators or engine owners.
- Represented an investment bank on its capital reconfiguration and restructuring for over 45 group companies spanning five jurisdictions.
Pro Bono
- Advised Hello Tractor on a collaboration agreement with John Deere for a public-private partnership with the Nigerian Federal Ministry of Agriculture and Rural Development. Through the collaboration, John Deere will deploy 10,000 tractors in Nigeria over five years and the tractors will be leased out to small farmers using Hello Tractor's platform, thereby increasing mechanization access in small farming communities.
- Represented Hello Tractor in the negotiation of an evaluation agreement with IBM for the creation of an agriculture digital wallet consisting of a blockchain-enabled and AI-based decision support platform that enables capturing, tracking, and instant sharing of data, while creating end-to-end trust and transparency for all the parties involved across the agribusiness value chain.
- Advising an organization dedicated to bridging the talent gap in management on the African continent on receiving and maintaining 501(c)(3) status with the IRS, receiving and maintaining non-profit status with the State of New York, assisting with entity formation and the development of corporate governance policies and documents, and establishing conflict of interest and whistleblower policies.
