Kelly Labritz is special counsel in the firm’s Corporate group and a member of the firm’s private equity and private funds practices.  Her practice focuses on advising clients in connection with structured fund recapitalization and buy-out transactions involving late-stage funds, fund clients’ regular investing and divesting activities, and clients’ secondary transactions.  She also regularly represents sponsors in a broad variety of private equity funds on formation and operating matters, including structuring executive compensation and carried interest arrangements.

  • Represented an investor buy-out group in connection with their purchase, via an LP-approved merger structure, of an $800 million stake in a 2000 vintage private equity fund, including the negotiation of a future revenue sharing arrangement among the lead investor and the general partner, and a renegotiation of the sponsor’s carried interest arrangement and fee structure.
  • Represented several funds sponsored by Octavian Advisors and Octavian Global Partners in connection with the acquisition by TPG Special Situations Partners, the credit and special situations platform of TPG, of a significant stake in, and TPG Special Situations Partner’s taking over management of, the Octavian investment funds.
  • Represented, and served as primary legal contact for, the family offices of two hedge fund founders, advising on the formation of the family offices, Investment Advisers Act registration and compliance, ongoing investing and portfolio company activities, establishment of credit facilities, and coordinating all tax, employment, executive compensation and regulatory compliance matters.
