Ike Morinaga advises domestic and international companies on issues ranging from corporate transactions to governance and compliance matters.  Capitalizing on his prior experience as an international banker, Mr. Morinaga brings a unique, business-focused perspective to his legal advice.  He has considerable experience working with companies in the manufacturing, automotive, energy, and hospitality industries.

  • Advised a major Japan-based manufacturing company about the establishment and corporate governance of its first US manufacturing base.
  • Represented another major Japan-based manufacturing company in the restructuring of a North American joint venture with a US partner and provided training on discrimination and harassment issues and union-related matters at the company’s North American facilities.
  • Represented a third major Japan-based manufacturing company in connection with a revision of its standard terms and conditions applicable to its procurement from suppliers in the US.
  • Represented a consortium of Japanese utilities in an extension and amendment of its long-term LNG purchase contract with a consortium of international LNG producers and in a price review at the middle point of the extension period.
  • Advised a top US private equity firm and a portfolio company in their renegotiation of the terms of a franchise agreement with a high-end restaurant franchisor.
  • Represented a publicly listed European franchisee of a major US-based take-out food franchise in the renegotiation of key terms of the existing master franchise agreement and in its expansion into several other European markets.
  • Represented a Hong Kong-based telecommunication company in its preparation of form master license, sublicense, distribution, and manufacturing agreements for the manufacturing and distribution of mobile phones in Africa, using innovative telecommunication technologies.
